Motivation

The Constitution establishes governance authority but requires formal activation to become operational. A clearly defined transition ensures:

  • Legal certainty
  • Governance legitimacy
  • Auditability of decision-making
  • Regulatory clarity regarding control and responsibility

Specification / Proposal Details

DIP1m1: Governance Activation Conditions

Governance shall be deemed operational only upon:

  • Formal appointment of all seven (7) Council Members
  • Confirmation of governance commencement date by the Company

DIP1m2: Transition of Authority

  • Interim governance (Article IC) shall cease upon activation
  • Protocol governance authority transfers to the Advisory Council
  • Corporate authority remains reserved to the Company (Article IA)

DIP1m3: Governance Epoch

  • The first governance epoch shall begin on the activation date
  • All protocol-level decisions must thereafter be executed through approved DIPs

DIP1m4: Regulatory & Legal Considerations

This DIP does not constitute:

  • A financial promotion
  • Investment advice
  • An offer of securities
  • Governance authority remains protocol-bound only and does not override Company legal duties
  • Ensures clear separation between: Corporate governance & Protocol governance (Article XVI)
